A legal model for selling a VR simulator to clinics and educational organisations

The request

Rentgenkhirurg LLC was preparing to sell a VR simulator for training doctors – the VRM Clab platform. The buyers were to be clinics and educational institutions, that is, organisations with their own legal departments and procurement procedures, and the company had no ready structure for the sale.

What we did

We developed a legal model for licensing the product: we defined what exactly passes to the buyer, for how long and to what extent, how the licence changes as the number of users grows, and on what grounds access is suspended and terminated. On the basis of the model we prepared the documents under which the product is sold – a licence agreement, the platform’s user agreement and personal data processing documents.

The result

The company received a structure from which the documents for a deal with any corporate buyer are assembled, and stopped negotiating the terms afresh for each client.
